Disputes frequently arise out of commercial transactions and occasionally escalate to a claim that one or more parties has breached a material term of the contract. These disputes may also include claims for one or more business torts, including fraud, breach of fiduciary duty, unfair competition, tortious interference with contract, defamation, civil conspiracy and/or RICO, negligent misrepresentation, and breach of the covenant of good faith and fair dealing, among others. Claims for business torts may be brought under the common law of a particular state or, in certain circumstances, under state or federal statutes. Apart from the actual damages sustained by an aggrieved party, a claim for breach of contract may seek the recovery of attorney’s fees if authorized by the contract in question. In addition, business tort claims commonly seek punitive damages and, if authorized by statute, the recovery of attorney’s fees.
